1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and WahLo Consulting LLC ("we," "us," or "our"), concerning your access to and use of our services. By accessing our services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

2. Scope of Services

WahLo Consulting LLC strictly provides technical and engineering services. Our scope of work is limited to:

• IT Consulting and Technology Strategy
• Software Development and Engineering
• System Architectural Design and Modernization

3. Prohibited Activities & Financial Disclaimer

Any reference to "enterprise solutions" or "systems" refers strictly to technical software infrastructure and does not imply financial regulatory compliance services.

4. Intellectual Property Rights

Client Ownership: Upon full payment of all fees, all custom code, software, and specific deliverables created by WahLo Consulting LLC for the client shall become the exclusive property of the client.

Retained Rights: WahLo Consulting LLC retains all rights, title, and interest in and to its background technology, underlying tools, frameworks, methodologies, and pre-existing code libraries used to deliver the services. The client is granted a perpetual, non-exclusive, royalty-free license to use such background technology solely as necessary to operate the custom deliverables.

5. Limitation of Liability

Important Legal Notice

To the maximum extent permitted by applicable law, WahLo Consulting LLC's liability for any claim arising out of or relating to this agreement or the services provided shall be limited to the total amount paid by the client to WahLo Consulting LLC for the specific services giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.

In no event shall WahLo Consulting LLC be liable for any indirect, consequential, exemplary, incidental, or special damages, including lost profits, even if we have been advised of the possibility of such damages.

6. Governing Law

These Terms and your use of the services are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding relating to the using of these services shall be instituted in a state or federal court in Wyoming.
